In order to best help our clients, we undertake an detailed
review of a company's historical financial performance and projected
operating results and cash flows. In conjunction with quantitative

situation and maximize business value.
We provide Chapter 11 planning, out-of-court exchange offers,
pre-packaged bankruptcies, asset divestitures, debt and equity

Financial Review. Troubled
companies have unique problems, often related to basic issues affecting
financial structure and the fundamental operating model. We often find
that taking a fresh look at financial performance with the aid of an
independent adviser can solve many of a company's problems. In
conducting a financial performance review, we first analyze each
component of a business to identify the inherent characteristics that
define the business operating model and distinguish the company from
its competitors. We then use that information to analyze the root
causes of recent performance levels. Then we structure specific steps
that will lead to improved performance. Finally we work intensively
with the company to incorporate those changes into the day-to-day
operations of the company. We focus on helping companies determine what
factors really drive the financial success of their business.
Divestitures. Companies that
underperform often need to identify and dispose of specific asset or
operations. We help analyze alternatives and devise a strategy and
execution plan to achieve the best return. These assets may be
facilities, entire divisions, joint ventures, product lines,
technologies or wholly owned subsidiaries. We perform these functions
with a maximum of efficiency and discretion, providing a complete
managed sale process that reduces management distraction at a time when
management attention is critically needed to deal with problems in core
operations. We have handled a number of divestitures and often use a
time-boxed auction process that identifies a wide range of potential
buyers, brings them to the table quickly and manages the process of
soliciting, negotiating and closing purchase offers to maximize the
financial return.
