Our turnaround team specializes in the restructuring of public and private companies. We work with investors and management of companies seeking to improve financial performance through financial and operational restructuring, refinancing, asset redeployments, divestitures, and acquisitions. Our services include in-depth financial performance reviews, liquidity stress tests, financial planning, business planning, industry peer analyses, business valuations, and capital investment planning.
Even successful and well run companies can encounter difficulties as a result of industry consolidation, changes in capital markets, economic cycles and other factors.
In these situations, it is important to clearly analyze and determine what caused the current difficulties, and to act quickly to resolve any conflicts and to move the company towards long-term profitability and success. This process is not a simple one. Various constituencies with divergent interests can create tension and dissent during negotiations. We have the ability to help our clients take control of this process. Our team of professionals is able to draw upon a long history of experience working with troubled companies.
In order to best help our clients, we undertake an detailed review of a company's historical financial performance and projected operating results and cash flows. In conjunction with quantitative analysis, we look at the more qualitative aspects of a company: industry overview, market share analysis and business unit viability. This allows us to develop a viable strategy to address the current situation and maximize business value.
We provide Chapter 11 planning, out-of-court exchange offers, pre-packaged bankruptcies, asset divestitures, debt and equity financings and expert witness testimony. As part of our services we often work with secured and unsecured creditor groups.
Financial Review. Troubled companies have unique problems, often related to basic issues affecting financial structure and the fundamental operating model. We often find that taking a fresh look at financial performance with the aid of an independent adviser can solve many of a company's problems. In conducting a financial performance review, we first analyze each component of a business to identify the inherent characteristics that define the business operating model and distinguish the company from its competitors. We then use that information to analyze the root causes of recent performance levels. Then we structure specific steps that will lead to improved performance. Finally we work intensively with the company to incorporate those changes into the day-to-day operations of the company. We focus on helping companies determine what factors really drive the financial success of their business.
Divestitures. Companies that underperform often need to identify and dispose of specific asset or operations. We help analyze alternatives and devise a strategy and execution plan to achieve the best return. These assets may be facilities, entire divisions, joint ventures, product lines, technologies or wholly owned subsidiaries. We perform these functions with a maximum of efficiency and discretion, providing a complete managed sale process that reduces management distraction at a time when management attention is critically needed to deal with problems in core operations. We have handled a number of divestitures and often use a time-boxed auction process that identifies a wide range of potential buyers, brings them to the table quickly and manages the process of soliciting, negotiating and closing purchase offers to maximize the financial return.
Mergers and Acquisitions. For companies seeking to buy, sell or merge a business, we offer a discrete alternative to traditional investment banking firms: a focus on troubled companies. We find traditional and non-traditional financial partners and can execute transactions quickly. We have the clear advantage of a significant knowledge and experience in managing acquisitions of troubled companies.
